For the purpose of this document, “WSIA” refers to Wealthspring Investment Adviser Pvt. Ltd. Further, www.wealthspringadvisors.in is a registered domain owned by Wealthspring Investment Adviser Pvt. Ltd.

By using the WSIA website and our services, you agree to the following terms and conditions, and any policies, guidelines or amendments thereto that may be presented to you from time to time, collectively, the “Terms”. We may update the Terms in the future, and you will be able to find the most current version of this agreement on our website.

The use of this website is subject to the following terms:

WSIA offers our services to you, provided that you are of legal age to form a binding contract and are not a person barred from receiving services under the Indian laws or other applicable jurisdiction. In order to access certain services, you may be required to provide current, accurate identification, contact, and other information as part of the registration process and/or continued use of WSIA services. You are responsible for maintaining the confidentiality of your account password, and are responsible for all activities that occur under your account. You agree to immediately notify WSIA of any unauthorized use of your password or account or any other breach of security. WSIA cannot and will not be liable for any loss or damage arising from your failure to provide us with accurate information or to keep your password secure.

You are aware and accept that all information, content, materials, products (including, but not limited to content, photographs, text, graphics, video and audio content as available from time to time) on the website is protected by copyright in favour of WSIA under the applicable copyright laws and the general intellectual property law.

You understand that all information, data, text, software, messages or other materials (“Content”) are the sole responsibility of the person from which such Content originated. WSIA reserves the right, but shall have no obligation, to pre-screen, flag, filter, refuse, modify or move any Content available via WSIA services.

You agree that you are responsible for your own conduct and any Content that you create, transmit or display while using WSIA services and for any consequences thereof. You agree to use WSIA services only for purposes that are legal, proper and in accordance with the Terms and any applicable policies or guidelines. You agree that you will not engage in any activity that interferes with or disrupts WSIA services or servers or networks connected to WSIA services. Users in India or outside of India agree to comply with applicable local rules regarding online conduct and acceptable content.

You agree to hold harmless and indemnify WSIA, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners, (collectively “WSIA and Partners”) from and against any third party claim arising from or in any way related to your use of WSIA services, violation of the Terms or any other actions connected with use of WSIA services, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, WSIA will provide you with written notice of such claim, suit or action.

You agree to give rights to WSIA to receive data from any relevant third party, broker or agents for updation of portfolio for reporting and analysis purpose. You agree to give rights to such third party, broker or agent to update your transaction data on WSIA.

You understand and accept that all information submitted by you on the site shall be deemed the property of WSIA, and WSIA shall have the right and freedom to use any ideas, concepts, know-how or techniques provided by you in any manner whatsoever. On initiating a contact through the site, you agree to being contacted by WSIA, or any other entities with whom WSIA has entered into an arrangement.

You agree not to reproduce, duplicate, copy, sell, trade, resell, redistribute, transfer, publish, enter into a database trade, or create derivatives from, or in any way exploit for any commercial purposes, any portion of WSIA services, use of WSIA services, or access to WSIA services except as otherwise expressly provided in the Terms or as specifically authorized in a separate written agreement.

You agree that WSIA is not responsible for the availability of content, or other services on third-party sites linked from the website. You accept that the access of hyperlinks to other internet sites are at your own risk, and the content, accuracy, opinions expressed, and other links provided by these sites are not verified, monitored or endorsed by WSIA in any way. WSIA does not make any warranties, and expressly disclaims all warranties, express or implied, including without limitation, those of merchantability and fitness for a particular purpose, title or non-infringement with respect to any information or services or products that are available or advertised or sold through any such third-party websites.

You accept that WSIA shall not be liable should any transaction on the website fail, or may not be completed, or for any failure on the part of WSIA to perform any of its obligations under these terms and conditions, or those applicable specifically to its services or facilities if performance is prevented, hindered or delayed by a Force Majeure event (defined below). In such an eventuality, its obligations shall be suspended for so long as the Force Majeure event continues.

You expressly understand and agree that WSIA shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if WSIA have been advised of the possibility of such damages) resulting from: (i) the use or the inability to use WSIA services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from WSIA services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on WSIA services; or (v) any other matter relating to WSIA services.

You understand that the infrastructure (software and hardware) underlying the site, as well as other Internet-related software required for accessing the website, are the legal property of WSIA or the respective vendors. The permission given by WSIA to access the website will not convey any proprietary or ownership rights in the above software / hardware. You agree that you shall not attempt to modify, translate, disassemble, decompile, or reverse engineer the software / hardware underlying the website, or create any derivative product based on the software / hardware.

You understand and accept that all products and services offered on this website may not be available in all geographic areas, and you may not be eligible for all the products or services offered by WSIA on the site. Even within a Geography, the same products and services may not always be available. WSIA reserves the right to determine the availability and eligibility for any product or service.

“Force Majeure Event” means any event due to any cause beyond the reasonable control of WSIA, including and without limitations the unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of God, civil commotions, strikes or industrial action of any kind, riots, insurrection, war, acts of the government, computer hacking, unauthorised access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal, or the systems getting affected by any malicious, destructive or corrupting code or programme, mechanical or technical errors/failures or power shutdown, faults or failures in telecommunication, etc.

You understand and accept that WSIA has the absolute discretion to amend or supplement any of the terms at any time, and will give a prior notice of 30 days for such changes. The changed terms and conditions shall be communicated to you on the website, and by other acceptable modes of communication. By using WSIA services, you shall be deemed to have accepted the changed terms and conditions.

You understand and agree that these terms are in addition to, and do not replace or exempt the applicable terms and conditions relating to your usage of any WSIA services that you may be currently availing, or may avail in the future.

The Terms and the relationship between you and WSIA shall be governed by the Indian laws without regard to its conflict of law provisions. You and WSIA agree to submit to the personal and exclusive jurisdiction of the courts located at Mumbai, Maharashtra, India.
